Devseora – SEO Agency in Edinburgh
Introduction
These Terms and Conditions (“Terms”) govern the provision of SEO (Search Engine Optimisation) services by Devseora (“we”, “us”, “our”), a professional SEO agency based in Edinburgh, Scotland, UK, operating via devseora.com.
By engaging our services, signing a proposal, or making a payment, you (“Client”) agree to be bound by these Terms in full. Please read them carefully before proceeding. If you do not agree with any part of these Terms, you should not engage our services.
Services Provided
Devseora provides SEO services including but not limited to:
- On-page SEO optimisation (meta tags, content, internal linking, site structure)
- Off-page SEO and link building
- Technical SEO audits and implementation
- Local SEO for Edinburgh and surrounding areas
- Keyword research and competitor analysis
- SEO reporting and performance tracking
The specific scope of services for each client will be outlined in the agreed proposal or service agreement provided before work commences.
Engagement and Agreement
A contract between Devseora and the Client is formed when: (a) the Client accepts a written proposal or quotation provided by Devseora, and/or (b) the Client makes an initial payment for services. All proposals are valid for 14 days from the date of issue unless otherwise stated.
Any changes to the agreed scope of work must be requested in writing and may be subject to additional charges. Devseora reserves the right to decline any request that falls outside the agreed scope.
Payment Terms
Monthly Retainer Services
- Monthly retainer fees are invoiced in advance at the beginning of each month.
- Payment is due within 7 days of the invoice date unless otherwise agreed in writing.
- A minimum contract period of 3 months applies to all retainer arrangements.
- After the minimum period, the retainer continues on a rolling monthly basis with 30 days written notice required to cancel.
One-Time Project Services
- A deposit of 50% of the total project fee is required before work commences.
- The remaining 50% is due upon project completion and before final deliverables are handed over.
- Project timelines are dependent on the Client providing required access, content, and feedback in a timely manner.
Late Payments
- Invoices not paid within the agreed timeframe may incur a late payment charge of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Devseora reserves the right to suspend services without liability until outstanding payments are received.
Client Responsibilities
To enable Devseora to deliver services effectively, the Client agrees to:
- Provide timely access to the website (CMS, hosting, Google Search Console, Google Analytics, etc.) as required.
- Supply accurate and complete business information necessary for the delivery of services.
- Review and provide feedback on deliverables within 5 business days where required.
- Ensure that all content, images, and materials provided to Devseora are owned by the Client or properly licensed for use.
- Notify Devseora promptly of any changes to the website, business operations, or digital presence that may affect the SEO work.
No Guarantee of Search Engine Rankings
Devseora does not guarantee specific search engine rankings, positions, or traffic levels. Search engines including Google operate independently and change their algorithms frequently. While we apply proven, ethical, and industry-standard SEO practices, results will vary depending on factors including competition, market conditions, website history, and search engine updates.
Any projections or estimates of rankings or traffic provided during consultation are indicative only and do not constitute a guarantee of performance.
Intellectual Property
Upon receipt of full payment, all deliverables created by Devseora specifically for the Client (including content, reports, and recommendations) become the property of the Client.
Devseora retains the right to use anonymised case studies, campaign data, and results for marketing and portfolio purposes, unless the Client requests otherwise in writing.
Confidentiality
Both parties agree to keep confidential any proprietary information, business strategies, or data shared during the course of the engagement. This obligation continues for 2 years after the termination of services. This clause does not apply to information that is publicly available or required to be disclosed by law.
Limitation of Liability
To the maximum extent permitted by law, Devseora shall not be liable for any indirect, incidental, or consequential losses arising from the use of our services, including but not limited to loss of revenue, profits, or business opportunities.
Devseora’s total liability to the Client shall not exceed the total fees paid by the Client in the 3 months preceding the event giving rise to the claim.
Termination
Either party may terminate the agreement under the following conditions:
- Retainer clients must provide 30 days written notice after the minimum 3-month period.
- One-time project engagements may be cancelled before work commences with the deposit being non-refundable.
- Devseora may terminate services immediately if the Client is in breach of these Terms, including non-payment.
- Upon termination, all outstanding invoices become immediately due and payable.
Ethical SEO Practices
Devseora is committed to using only ethical, white-hat SEO techniques that comply with Google’s Webmaster Guidelines and other search engine policies. We do not engage in black-hat practices such as keyword stuffing, cloaking, or purchasing low-quality backlinks. Any such practices requested by the Client will be refused, and Devseora will not be held responsible for penalties resulting from changes the Client makes independently to their website.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Scotland and the United Kingdom. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
Changes to These Terms
Devseora reserves the right to update these Terms & Conditions at any time. Clients will be notified of any material changes. Continued use of our services after any changes constitutes acceptance of the revised Terms. The latest version will always be available on our website at devseora.com.
